Palo Alto Networks has announced a landmark agreement to acquire Israeli cybersecurity firm CyberArk Software in a deal valued at approximately $25 billion, marking one of the largest mergers in cybersecurity history.

The transaction, structured as a cash-and-stock deal, will see CyberArk shareholders receive both cash and Palo Alto Networks shares. The offer reportedly represents a 26% premium on CyberArk’s recent share price, underlining Palo Alto’s strategic commitment to expanding its cybersecurity dominance.

With this acquisition, Palo Alto aims to integrate CyberArk’s advanced identity security and privileged access management (PAM) capabilities into its existing platforms. Palo Alto Networks CEO Nikesh Arora stated that the deal reflects a shift toward holistic, identity-first security. He emphasized that as AI systems multiply, protecting every digital identity—whether user, application, or AI agent—is becoming essential to cybersecurity.

CyberArk brings to the table over 10,000 global customers and deep expertise in credential protection, a critical layer in modern zero-trust architectures.

The announcement sparked mixed reactions on Wall Street. Shares of Palo Alto Networks dropped following concerns over the valuation and long-term return on investment. Analysts note that while the strategic logic is sound, the deal may only begin yielding significant financial returns by fiscal year 2028.
